概述:

在大多数经济体,家族企业都是重要的增长动力,可以说全球大部分企业都是家族企业。凭借其创造就业机会和树立长期愿景的出色能力,家族企业为全球经济和整个社会作出了独特贡献。

在许多方面,家族企业所面临的挑战都是源自其自身特点。以继任规划为例,大多数家族企业的领导人依然是第一代创始人,尤其是在新兴市场。领导权即 将移交给第二代或第三代家族成员,权力移交是否顺利在很大程度上决定了家族企业是否能持续成功。另一方面,西方发达经济体的家族企业规模日渐增大,其挑战 和新兴经济体颇为不同。这些家族企业需要以更为正规的方式来平衡家族与企业之间的利益,并确保传统的延续性。

我们的宗旨是为家族企业找到最佳人才来构筑光明未来。基于我们与全球顶尖的家族企业数十年的合作经验,我们知道第一要务是在几代家族成员间统一思 想,统一整个家族对于经营业务和所有权管理的理念及方式。有鉴于此,我们的顾问同家族企业的所有者和家族成员密切合作来创造良好的氛围,推动促进最佳人才 决策。

为了更好地服务于家族企业,亿康先达国际专门设立了家族企业咨询业务,其主要服务内容包括创始人权力交接、继任规划(在家族成员和非家族成员的经理人之间选拔最出色高管)、下一代家族成员角色规划、为企业和家族制定公司治理框架等。

我们的家族企业咨询服务主要围绕三大领域:

公司治理与家族治理咨询

我们的顾问是在家族、家族企业所有者和管理层之间协调统一的推手,力图帮助家族企业在管理家族事务和管理业务运营的问题上达成一致,以确保企业持 续成功。这项工作需要制定清晰的公司治理框架,将业务管理权与所有权相分离,为家族成员和家族企业所有者提供解决冲突的“规范流程”。公司治理所采取的形 式可以是家族议事会、家族办公室、所有者议事会、顾问委员会等。我们会运用全球知识和经验来提供适当治理框架的咨询意见并确定上述机构的职权范围。根据对 经营战略和所有权结构的清晰评估,我们还会协助企业基于能力特征来选拔独立董事及独立顾问,从而让公司治理机制积极发挥作用,并定期评估其效力。

创始人与下一代接班

创始人权力移交给下一代是每个家族企业在一定阶段都会遇到的最容易动感情、最具挑战性的问题。每次代际传承都是一次思索未来战略、所有权结构及管 理架构的机会。为代际传承预作准备是保证家族企业持续成功的关键。这是需要长期管理的流程,而不是只作应急准备就行了。我们会准确了解家族企业当前的人才 状况和工作动机、对照内部和外部最佳人才进行标竿对比(尤其是在创始人交接的重大阶段)、根据企业未来发展战略和家族愿景来分析现有人才的潜力,从而协助 家族企业进行交接规划。除了吸引最出色的外部人才到家族企业,我们也会确定下一代家族成员各自的职责,制定下一代家族领导人的就职指引和培训发展计划。

家族成员与非家族成员继任最高管理职位
