From Oversight to Strategic Stewardship

How Manufacturing Boards Are Evolving for a Changing World

A new survey of U.S. manufacturing CEOs, Chairs, and board members by Egon Zehnder in partnership with Manufacturers Alliance Foundation reveals a board agenda that is expanding and taking on new challenges to meet the demands of the world at large.

Increasingly, manufacturing boards are helping their organizations navigate uncertainty and change as well as build resilience and pursue growth amid constant geopolitical disruptions, technological transformations and regular regulatory shifts. The result is a broadening board agenda that is moving beyond compliance and traditional oversight into more active strategic guidance and stewardship of long-term value.

Today, AI deployment, cybersecurity threats, tariffs, and geopolitical instability are regular boardroom topics. 91% of board members note that digital, AI, and technology transformation have become more important over the past two to three years and nearly 40% indicated that geopolitical developments have become more important over the same period.

To understand how boards are responding to these changes, Egon Zehnder and Manufacturers Alliance Foundation combined survey data with first-person interviews of CEOs, Chairs and board members of U.S. manufacturing companies to explore boards’ current agendas, how prepared they are for what lies ahead, and how their relationships with CEOs and executive teams are evolving.

A Few Key Themes Emerged

Board Agendas are Expanding and Becoming More Fluid

AI, technology, and geopolitics are increasingly shaping discussions around strategy and growth and because of this boards’ agendas are needing to become much more adaptable. “Had you walked into our board meeting five years ago you wouldn’t have heard nearly the focus on cybersecurity or wouldn’t have heard anything about tariffs,” explained one CEO. Because of this shifting terrain, both Chairs and active board members stress how essential it has become for boards “to become a lot more fluid.”

Boards are Evolving Their Composition and Capabilities to Address this Expanded Agenda

Many boards are refreshing their membership, adding more CEOs and functional experts to better prepare for topics they are facing with more regularity. They are also actively addressing gaps in their knowledge, especially around AI, cybersecurity, and geopolitics with both new representation as well as regular training. “Directors who do not spend the time to get AI education will quickly be irrelevant in the boardroom,” according to one board member.

The Relationship Between CEOs and Boards is Becoming More Collaborative

CEOs, Chairs and board directors report more regular communication and stronger strategic dialogue and decision-making in response to these more uncertain and complex times. Working in closer collaboration with their CEOs is helping board members stay more aligned with their organization’s priorities and focus their time on the most value-adding agenda items. “There is a lot more discussion around how quickly the world is changing and the various possibilities than I have seen past,” observed one longstanding CEO.
